FAIRMOUNT CEMETERY ASSOCIATION OF NEWARK AND SOMERSET HILLS
Notice of Annual Meeting
The annual meeting of the Members, as owners of one or more graves, crypts or niches at FairmountCemetery and SomersetHillsMemorial Park, will be held on Thursday, May 20, 2010, at 9:00 a.m. at the offices of FairmountCemetery, 620 Central Ave., Newark, NJ 07107.
The agenda for the annual meeting will include the election of two Managers of the Association’s Board of Managers. The candidates for Managers being nominated by the Board of Managers are Mr. Joseph E. Prather and Mr. David Osterman, of who currently serve on the Board of Managers. A brief biographical description of each nominee is set forth below:
Mr. Joseph E. Prather - Mr. Prather is the President of Griffin & Howe of Bernardsville, N.J., and a 35 year resident of Bernardsville and Far Hills. Mr. Prather is a lot owner at SomersetHillsMemorial Park and has 47 years’ experience in manufacturing and retail.
David S. Osterman, Esq. - Mr. Osterman is an attorney and a member of the firm Goldberg Segalla LLP of Princeton, N.J. He specializes in litigation. Mr. Osterman, a long-term resident of New Jersey, is a current proprietor of graves at SomersetHillsMemorial Park.
As provided by the Association’s By-Laws, the Members of the Association may also nominate candidates for Manager. To be valid for consideration at this annual meeting, any such nomination shall (a) be in writing signed by at least one Member, with such written nomination having been received by the Association (620 Central Ave., Newark, N.J. 07107) no later than April 20, 2010, and (b) include a biographical description of the candidate, including areas of expertise and experience that may benefit the Association.
The New Jersey Cemetery Act, 2003 provides that if a grave, crypt or niche is owned by more than one person, then a majority of its owners shall decide among themselves who shall be an authorized representative of multiple owners to cast the vote associated with their grave, crypt or niche. Please notethat the Association will recognize any person who is present in person at the annual meeting as the authorized representative of multiple owners, subject to the Association’s ability to confirm that such person is in fact an owner of the applicable grave, crypt or niche (the “Authorized Representative”).
The New Jersey Cemetery Act, 2003 also provides for proxy voting - a proxy being valid for no more than three years. The Association By-Laws require that for any proxy to be valid it must be in writing, signed and dated by the Member authorized to vote, and such Member’s signature must be notarized. The proxy holder must attend a meeting of Members in person to vote. A sample form of proxy is available from the Association upon a Member’s request.
